Neocloud capital is pricing backlog that has no power yet. Nscale's $3.36B round funds negative gross margin while Northern Virginia narrows where campuses can go.
Nscale raised $3.36B in pre-IPO convertible notes on Sept 25, led by Third Point, with $1B of it from Nvidia due by mid-November. It cites over $103B in contracted value. Its prospectus shows H1 2026 revenue of $140.6M against cost of revenue of $189.6M, a net loss near $1B, and a going-concern warning. DCD reports 55MW live across five sites, with about 5% of its planned GPUs energized.
On Sept 22, Prince William County supervisors voted unanimously to shrink the data center opportunity zone from about 9,700 acres to roughly 3,600. New projects outside it now need a special use permit and a board vote. The county lists 53 planned data centers and 15 pending applications. Loudoun already paused new applications for 12 months.
The mechanism: money is buying contracts faster than sites can be permitted and powered. Backlog converts to revenue only when megawatts go live, and the largest US market just added a public vote to that path. The governing signal is Capital Flood.
